Terms of Use

These Terms of Use (the “Terms”) are a legally binding agreement between you and Neutune, Inc. (“Neutune,” “we,” “us,” or “our”). Please read them carefully before accessing or using NeuSynth.

1. Agreement and scope

1.1 Acceptance

By clicking to accept these Terms, creating an Account, downloading or installing NeuSynth, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1.2 The Service

NeuSynth is an AI-assisted music-generation service that may be made available through a website, desktop application, DAW plug-in, API-enabled feature, or related software and services. It processes Context Audio, Prompt Audio, text prompts, instrument selections, and other user choices to generate WAV audio Outputs for the output targets confirmed before generation.

1.3 Related policies

The NeuSynth Privacy Policy, the Neutune Account Terms of Use, the Neutune Account Privacy Policy, and any feature-specific rules, offer terms, order forms, or plan details displayed in the Service form part of the agreement between you and Neutune.

The Neutune Account Terms of Use and Neutune Account Privacy Policy govern shared Account creation, Google Sign-In, authentication, Account security, recovery, administration, and deletion. These Terms and the NeuSynth Privacy Policy govern NeuSynth-specific features, subscriptions, Credits, payments, User Content, Outputs, AI processing, and Product Improvement.

If the documents conflict, the Neutune Account documents control shared Account and Google user-data matters, while the NeuSynth documents control NeuSynth-specific matters. Nothing in these documents excludes rights that cannot lawfully be excluded.

2. Eligibility and Accounts

2.1 Minimum age and parent or guardian consent

You must be at least 13 years old to create an Account or use NeuSynth. If you are under 18 years old or have not reached the age of majority where you live, you may use NeuSynth only after Neutune has obtained verified consent from your parent or legal guardian. Your parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use of the Service and any purchases you make. You and your parent or legal guardian must provide accurate information and complete any reasonable age- or consent-verification steps requested by Neutune. If applicable law requires a higher minimum age, a different verification method, or additional safeguards, that law applies.

2.2 Use for an organisation

If you use the Service for a company, label, studio, school, or other organisation, you represent that you are authorised to accept these Terms for that organisation. In that case, “you” includes both you and the organisation.

2.3 Account information and security

You must provide accurate, current information and keep your login credentials secure. You are responsible for activity conducted through your Account, except to the extent caused by Neutune’s breach of duty. Notify us promptly at cs@neutune.com if you suspect unauthorised access. Accounts and Credits may not be sold, transferred, shared as a service, or used to evade plan limits.

2.4 Free-account abuse

You may not create or control multiple Accounts to obtain additional Welcome Credits, bypass restrictions, or otherwise misuse a free offer. We may withhold or reverse promotional Credits and suspend associated Accounts where we reasonably determine that abuse has occurred.

3. Definitions

Account. your shared Neutune Account used to access NeuSynth, as described in Section 1.3.

Active Paid Plan. a paid NeuSynth subscription that is active and in good standing at the relevant time. An Active Paid Plan is not required to use previously granted, unexpired Credits.

Commercial Use. any use intended to generate revenue, promote a business or professional activity, support client work, advertise goods or services, obtain platform monetisation, or commercially distribute, license, sell, broadcast, perform, or otherwise exploit a work.

Context Audio. audio uploaded, captured, or supplied by you for NeuSynth to analyse as musical context, including an aligned mix or selected section from a DAW project.

Prompt Audio. audio supplied by you as a reference or instruction for generation. Prompt Audio may also be described in the Service as Reference Audio.

Text Prompt. text, labels, selections, metadata, or other written instructions supplied by you.

User Content. Context Audio, Prompt Audio, Text Prompts, and any other content or information you submit to the Service, excluding technical Usage Data and Feedback.

Usage Data. technical, diagnostic, and interaction data about use of the Service, including generation events, feature and model selections, likes, ratings, saves, downloads, exports, timestamps, Credit usage, performance data, and device or host information.

Product Improvement Data. selected User Content, Outputs, and Usage Data from an eligible adult user’s Account during a period when Product Improvement participation is active under Section 5.4.

Output. one WAV audio file or other generated file delivered by NeuSynth for a confirmed output target in response to User Content or user selections.

Free Output. an Output generated using Welcome Credits or other Credits expressly designated for non-commercial use, unless the Service clearly states otherwise before generation.

Paid Output. an Output generated entirely using Subscription Credits, Subscriber Bonus Credits, or Purchased Top-up Credits, whether or not an Active Paid Plan remains in effect, subject to successful payment of the associated subscription or purchase and your compliance with these Terms. The treatment of Credits used together with Welcome Credits or other non-commercial Credits is described in Section 6.3.

Project. a distinct creative work—such as a song, recording, film, television programme, video, game, advertisement, live performance, podcast, social-media production, or client production—in which an Output is used for the creative purpose of that work rather than distributed as reusable source audio. A Project may use an Output prominently or in isolation where appropriate to the work, for example as a sound effect.

Variation Set. a group of related Outputs generated together, containing one WAV Output for each confirmed output target. Under the current Service design, one Generate action requests four independent Variation Sets.

Generation Credit. the Service’s unit for measuring generation usage, as described in Section 8. Credits may be granted as Welcome Credits, Subscription Credits, Subscriber Bonus Credits, or Purchased Top-up Credits. “Top-up Credits” refers to the purchased base Credits; any Subscriber Bonus Credits are a separate grant with a separate expiry.

Service. NeuSynth and its related websites, applications, DAW plug-ins, software, features, content, and support services.

4. Licence to use the Service; Neutune property

4.1 Limited Service licence

Subject to these Terms, Neutune grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Service on devices you own or control for your personal or internal business purposes. Permitted Commercial Use of Paid Outputs is governed separately by Section 6.

4.2 Neutune property

Neutune and its licensors retain all rights in the Service, including its models, algorithms, software, source and object code, workflows, interfaces, designs, documentation, trademarks, service content, and improvements. Except for rights expressly granted in these Terms, no right or licence is granted by implication, estoppel, or otherwise.

4.3 Software updates

We may provide updates, patches, or new versions. Updates may install automatically where your device or application settings allow. You may need to install an update to continue using the Service securely or compatibly.

5. User Content and uploaded audio

5.1 You keep your rights

As between you and Neutune, you retain all rights, title, and interest you hold in your User Content. These Terms do not transfer ownership of your Context Audio, Prompt Audio, Text Prompts, compositions, recordings, performances, or other original material to Neutune.

5.2 You must have the necessary rights

You represent and warrant that you own your User Content or have all licences, consents, releases, permissions, and authority required for Neutune to process it and for you to use the resulting Output as intended. This includes rights in the underlying composition, sound recording, performance, voice, name, likeness, privacy, publicity, and any confidential information. Lawful access to listen to a track does not by itself give you permission to upload or use it in NeuSynth.

5.3 Limited operational licence

You grant Neutune and its service providers a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, resample, format, analyse, and otherwise process User Content and Outputs only as reasonably necessary to provide the Service to you, generate requested Outputs, maintain security, provide support you request, troubleshoot technical issues, enforce these Terms, or comply with law. Any sublicense may be granted only to a service provider performing those purposes for Neutune. This operational licence does not permit public distribution. Product Improvement is governed separately by Section 5.4.

5.4 Model evaluation and improvement

NeuSynth may log Usage Data—including generation events and whether an Output is liked, rated, saved, downloaded, or exported—to operate, secure, support, and measure the Service. Operational logging does not by itself authorise Neutune to use the contents of your audio, prompts, or Outputs for Product Improvement.

For eligible adult users, Product Improvement participation is enabled by default where applicable law permits. You grant Neutune and its authorised service providers a worldwide, non-exclusive, royalty-free licence to collect, store, copy, automatically analyse, evaluate, and use Product Improvement Data created while participation is active for the Account. Where applicable law requires affirmative consent, participation and this licence begin only after you provide that consent. Product Improvement Data may include Context Audio, Prompt Audio, Text Prompts, generated Outputs—including liked or exported clips, stems, or combined WAV files where available—and related Usage Data.

Neutune may use Product Improvement Data through automated processes to create or automatically curate evaluation and training datasets; evaluate quality; compare, test, validate, and benchmark models; diagnose generation failures; and train, retrain, fine-tune, and improve NeuSynth models, features, and output quality. Neutune will not sell Product Improvement Data, use it for advertising, publicly distribute it, or authorise another company to use it to train an unrelated model for that company’s own purposes.

Neutune personnel and service providers may operate and maintain the automated Product Improvement systems. This does not prevent access reasonably necessary for user-requested support, security, troubleshooting, enforcement, or legal compliance under Section 5.3. User Content and Outputs remain private by default and are not made available to other NeuSynth users.

You may opt out of Product Improvement at any time through any available setting or by contacting cs@neutune.com without losing access to the core Service. After opt-out, Neutune will stop adding new data from your Account to Product Improvement Data and will remove remaining identifiable, unincorporated items from active improvement datasets within a reasonable period. Opt-out does not affect processing already lawfully completed, aggregated or irreversibly anonymised results, completed evaluations, or model changes into which a particular contribution can no longer reasonably be isolated or reversed. Backup copies are removed through normal backup cycles unless law requires preservation.

5.5 Privacy, access, storage, and backups

User Content and Outputs are private by default. NeuSynth does not provide a feature that makes them public or shares them with other users. Neutune personnel and authorised service providers may access or disclose User Content only where reasonably necessary for the limited operational purposes in Section 5.3, including user-requested support, security, troubleshooting, enforcement, or legal compliance, and subject to appropriate confidentiality and access controls. Product Improvement under Section 5.4 is automated and does not permit listening to or manual review of content for improvement purposes. Retention and deletion are further described in our Privacy Policy. You are responsible for keeping independent copies of important User Content and Outputs; the Service is not an archival or backup service.

5.6 Removal and cooperation

We may block, remove, or restrict User Content where we reasonably believe it violates these Terms, infringes another person’s rights, creates security or legal risk, or must be removed by law. We may ask you for evidence of your rights to uploaded audio, and you agree to provide reasonable cooperation.

5.7 Feedback

If you voluntarily give us ideas, suggestions, or feedback about the Service, you grant Neutune a perpetual, worldwide, non-exclusive, transferable, sublicensable, royalty-free licence to use that Feedback without restriction or payment. Feedback does not include your User Content or Outputs.

6. Output rights and permitted use

6.1 Rights in Free Outputs

To the extent Neutune holds any rights in a Free Output, Neutune grants you a worldwide, non-exclusive, royalty-free licence to use that Free Output only in lawful, personal, internal, and non-commercial Projects. You may not monetise, license, sell, commercially release, use in paid client work, use in advertising, or otherwise make Commercial Use of a Free Output. This licence is perpetual while you comply with these Terms.

6.2 Rights in Paid Outputs

To the extent permitted by law, Neutune assigns to you all transferable rights, title, and interest that Neutune may hold in each Paid Output. Subject to these Terms, you may modify, reproduce, perform, display, synchronise, distribute, transmit, license, and otherwise use Paid Outputs worldwide in commercial and non-commercial Projects, including music releases, videos, films, games, advertisements, live performances, social-media content, and client work. These rights are perpetual and survive cancellation or downgrade of a Paid Plan and the later use or expiry of the Credits involved.

6.3 Rights are determined by the Credit used

An Output generated using Welcome Credits or other Credits expressly designated for non-commercial use is a Free Output unless the Service expressly states otherwise before generation. This also applies if an Output uses both those Credits and paid-source Credits. An Output generated entirely using Subscription Credits, Subscriber Bonus Credits, or Purchased Top-up Credits is a Paid Output, subject to successful payment of the associated subscription or purchase. Those Credits remain usable until their original expiration dates even after cancellation; an active subscription is not required for their Outputs to qualify as Paid Outputs.

Upgrading or resubscribing later does not convert an earlier Free Output into a Paid Output or grant commercial rights retroactively. Cancelling later does not remove rights already granted for a Paid Output. Regenerating an idea creates a new Output whose rights are determined separately under this Section.

6.4 Sharing with collaborators and distributors

You may provide Output source files to collaborators, clients, labels, publishers, broadcasters, distributors, platforms, or other production partners only as reasonably necessary to create, finish, license, or distribute a specific permitted Project. You must ensure that they do not use or redistribute the Output independently as a standalone audio asset, and you remain responsible for uses authorised through you.

6.5 Standalone resale and redistribution are prohibited

You may not sell, sublicense, redistribute, publish, or make an Output available as a standalone sample, loop, stem, stock-audio file, sample pack, stem pack, sound library, production asset, downloadable source file, or source material for a competing audio library or generation service, whether the Output is modified or unmodified. The key distinction is between using an Output to make a Project and selling or supplying the Output itself as a reusable product.

6.6 AI training and datasets are prohibited

You may not use Outputs, or permit another person to use Outputs, to train, retrain, fine-tune, or create a training dataset for a generative-AI or machine-learning model. This restriction does not limit Neutune’s processing expressly authorised under Section 5.4.

6.7 No artist participation or endorsement claims

Unless you have the relevant person’s written permission, you may not state or imply that an artist, performer, producer, songwriter, public figure, or other person created, performed on, approved, sponsored, or endorsed an Output or Project.

6.8 AI-output limitations

AI-generated material may not be copyrightable in every jurisdiction. Outputs may be non-unique, and the Service may generate the same or similar material for different users. Neutune does not guarantee that an Output is unique, copyrightable, registrable, commercially suitable, or free from third-party rights. You are responsible for reviewing an Output and obtaining any clearance appropriate to your intended use. Similarity alone does not establish copying, and nothing in these Terms waives any right or remedy available under applicable law.

6.9 What is not transferred

No Output assignment or licence transfers ownership of Neutune’s models, technology, software, Service, trademarks, documentation, pre-existing materials, or third-party materials. Neutune cannot transfer rights it does not own.

7. Acceptable use

You must not use the Service, User Content, or Outputs to:

• violate applicable law or another person’s intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
• upload or process music, recordings, performances, voices, names, or likenesses without the necessary rights or consents;
• impersonate another person, create a deceptive endorsement, commit fraud, mislead listeners about origin or participation, or facilitate unlawful deception;
• generate, upload, or distribute material that is illegal, threatening, abusive, exploitative, unlawfully discriminatory, defamatory, obscene, or invasive of privacy;
• introduce malware, interfere with security, overload or disrupt the Service, or access systems or data without authorisation;
• reverse engineer, decompile, disassemble, discover source code or model weights, extract model components, or circumvent technical limits, except to the narrow extent a restriction is prohibited by law;
• scrape, crawl, data-mine, automate access, or use bots or scripts without Neutune’s written permission;
• resell, lease, sublicense, time-share, or provide access to the Service or an Account to third parties;
• evade Credits, usage limits, access controls, geographic restrictions, suspension, or enforcement measures; or
• use the Service, its responses, or Outputs to build, benchmark for replication, or operate a competing model, generation service, or sound library in breach of these Terms.

We may investigate suspected misuse and take proportionate measures, including limiting generation, removing content, returning or withholding Credits where appropriate, suspending access, or terminating an Account.

8. Generation Credits

8.1 Credit unit and calculation

Under the current Service design, one Generate action requests four independent Variation Sets. Each set contains one WAV Output for each confirmed output target. A request for four sets and six targets therefore produces 24 WAV Outputs. One Generation Credit covers one started 30-second block of requested duration for one Output. The total charge depends on the number of Variation Sets, the number of confirmed output targets, and the requested duration. Context Audio, Prompt Audio, and text prompts are inputs and are not charged separately. The Service shows the confirmed targets, available duration, and total cost before you confirm generation.

8.2 Duration-based Credit calculation

The total charge is the number of Variation Sets multiplied by the number of confirmed output targets, multiplied by the number of 30-second blocks in the requested output duration, rounding any partial block up. Unless the Service expressly displays a different rule before generation, each Output uses one Credit for each started 30-second block. Examples:

• Four Variation Sets and one target, up to 30 seconds: 4 WAV Outputs and 4 Credits.
• Four Variation Sets and six targets, up to 30 seconds: 24 WAV Outputs and 24 Credits.
• Four Variation Sets and six targets, over 30 and up to 60 seconds: 24 WAV Outputs and 48 Credits.

The total cost is displayed before generation and is based on the requested duration, not minor differences in the delivered file’s actual length. Available targets and supported durations are shown in the Service; these examples do not promise that every duration is available in every feature.

8.3 Credit types and expiration

Welcome Credits. A new Account receives 24 one-time Welcome Credits free of charge. They may be used with or without an Active Paid Plan and expire 12 months after grant. Outputs generated with Welcome Credits are Free Outputs.

Subscription Credits. These are granted only after a successful initial, renewal, plan-change, or resubscription payment. Each successful payment grants the corresponding plan allowance. Each batch expires at the original end date of the subscription period for which it was granted. At a normal renewal, unused Credits from the period ending expire and the renewed plan’s Credits are granted after successful payment. A later upgrade, downgrade, cancellation, or renewal does not revoke another batch early or change its original expiry. Starting or changing a subscription without a new successful payment does not itself grant additional Credits.

Subscriber Bonus Credits. Active subscribers receive these additional Credits with an eligible Top-up purchase, based on the plan in effect at the time of purchase. They expire 30 days after grant and are recorded separately from the Purchased Top-up Credits. Once granted, they remain usable until that original expiry even after an upgrade, downgrade, or cancellation. The amounts are set out in Section 9.9.

Purchased Top-up Credits. These are the base Credits bought through a successful Top-up purchase. They can be purchased and used with or without an Active Paid Plan. Each batch expires 12 months after purchase, unless applicable law requires a longer validity period or prohibits expiration. Later subscription changes or cancellation do not remove them, restrict their use, or reset their original expiry.

Already-granted, unexpired Credits remain usable after an upgrade, downgrade, or cancellation. Subscription-only benefits may end or change, but an active subscription is not required to use those Credits. Expired Credits are no longer usable, and a subscription change or resubscription does not revive them or extend an original expiry. Each batch retains its original Credit type, source, and expiration date regardless of any internal record label. Any expiry rule in this Section is subject to mandatory law. Account suspension, deletion, payment reversal, or fraud are addressed separately in Sections 2.4, 7, 9.7, and 13; ordinary subscription cancellation is not Account deletion.

Credits with the earliest expiration timestamp are deducted first. Where Subscriber Bonus Credits, Subscription Credits, and Purchased Top-up Credits have identical expiration timestamps, their relative order is Subscriber Bonus Credits, then Subscription Credits, then Purchased Top-up Credits. The Service will show any additional rule for a tie involving Welcome Credits before the relevant generation. Other promotional Credits may have additional terms disclosed with the offer.

8.4 No cash value or transfer

Credits are a limited contractual right to request eligible Service usage. They are not money, stored value, cryptocurrency, or property; have no cash value; cannot be transferred, sold, exchanged, or redeemed for cash; and may be used only through the Account to which they were issued.

8.5 Technical failures and automatic Credit returns

The Service may automatically retry a generation when an Output is missing, corrupt, unreadable, undelivered, or detected as silent, near-silent, or materially incomplete under Neutune’s technical validation rules. Internal retries do not consume additional Credits. If an Output still fails after applicable retries, all Generation Credits charged for that failed Output will be returned. If every Output in a Generate action fails, all Generation Credits charged for that action will be returned. A partial failure returns the Credits charged for each failed Output. Returned Credits are restored to the same Credit type and batch from which they were deducted and retain the original grant or purchase date and expiration date. A Credit return does not extend an expiration date. Unexpired returned Credits remain usable with or without an Active Paid Plan, subject to the same rules as the original batch and any remedy required by law.

8.6 What is not a technical failure

A Credit is not returned solely because you dislike an Output’s musical quality, style, arrangement, creativity, similarity, context fit, mix, usefulness, or copyright status. These are subjective or inherent characteristics of generative systems rather than delivery failures. This does not limit any remedy required by law.

8.7 Changes to Credit requirements

We may adjust the number of Credits required for future generations to reflect output count, duration, feature type, model, computational cost, or other product factors. Any new cost applies prospectively and will be displayed before the affected generation. Material changes to recurring plan allowances will be handled under Sections 9 and 18.

9. Free Accounts, Paid Plans, billing, cancellation, and refunds

9.1 Free Account and Welcome Credits

NeuSynth offers a Free Account with 24 one-time Welcome Credits. Welcome Credits may be used whether or not the user has an Active Paid Plan, expire 12 months after the date they are granted, and do not replenish monthly. A Free Account is not a free first month of a Paid Plan, does not automatically become a Paid Plan, and does not trigger recurring charges. Unless an offer expressly states otherwise, NeuSynth does not provide a free trial of a Paid Plan. Outputs generated with Welcome Credits are Free Outputs and are limited to non-commercial use under Section 6.1.

9.2 Paid Plans

The current monthly Paid Plans are Starter at US$4.99 for 150 Subscription Credits and Creator at US$9.99 for 400 Subscription Credits per successfully paid subscription period. Features, the billing interval, taxes, and the total price are shown in the Service or at checkout.

Each successful initial, renewal, plan-change, or resubscription payment grants the corresponding Subscription Credits under Section 8.3. No new Subscription Credits are granted unless and until the applicable payment succeeds. Plan details may vary by territory, platform, tax treatment, or a disclosed promotional offer. Paid Output rights are determined under Section 6.3.

9.3 Automatic renewal

A Paid Plan automatically renews for successive periods equal to the initial billing period unless you cancel before the next renewal date. By subscribing, you authorise Neutune and its payment processor to charge the payment method on file for the then-current price, applicable taxes, and disclosed fees at each renewal. The renewal date and cancellation method will be shown in your Account or purchase flow. Each grant retains the expiry associated with its own original subscription period. If Credits preserved from an earlier plan have a different expiry, renewal of the current plan does not cancel them early.

9.4 Cancellation and resubscription

You may cancel through your Account settings or by contacting cs@neutune.com. Subject to any mandatory law requiring a different result, cancellation takes effect immediately when processed: the active subscription and subscription-only benefits end immediately, and the cancelled plan will not renew. The Account may continue as a Free Account. You may continue to generate using any previously granted, unexpired Credits.

Unused Subscription Credits remain usable until the end of the original subscription period for which they were granted. Subscriber Bonus Credits remain usable until 30 days after their original grant, and Purchased Top-up Credits and Welcome Credits remain usable until their original 12-month expiry, subject to mandatory law. Cancellation does not revoke, freeze, or deduct those Credits. Resubscription does not pause, extend, or reset an expiry and is not required to use unexpired Credits. New Subscription Credits are granted only after a new successful subscription payment.

Cancellation does not entitle the user to a monetary refund, partial refund, prorated refund, or additional Credits, except where required by applicable law. For example, if you cancel Creator with 280 unexpired Subscription Credits remaining, the subscription and its renewal stop immediately and the payment already made is not refunded, but the 280 Credits remain usable until their original expiry. Cancellation, downgrade, or expiration of unused Credits does not retroactively change rights in Paid Outputs already created.

9.5 Prices and taxes

You must pay the price shown at purchase. Taxes are included or added as indicated at checkout. We may change future subscription prices by giving advance notice required by applicable law. A new subscription price applies no earlier than the next renewal after the notice period. If you do not accept it, you may cancel before renewal.

9.6 Refunds

Except where required by applicable law, subscription payments, including payments for upgrades and downgrades, and Top-up purchases are final and non-refundable. Immediate cancellation or a plan change does not provide a full, partial, or prorated refund of an earlier payment or unused subscription time. No automatic proportional Credit refund is provided. Keeping previously granted Credits is not a refund. Credit returns for technical failures under Section 8.5 are usage adjustments, not cash refunds. Nothing in these Terms limits a mandatory right of withdrawal, cancellation, repair, re-performance, price reduction, or refund available under applicable consumer law, including a remedy for a billing error or non-conforming Service. Contact cs@neutune.com to request a refund required by law or to report a billing error.

9.7 Payment failures and chargebacks

No new Subscription Credits, Purchased Top-up Credits, or associated Subscriber Bonus Credits are granted unless and until the applicable payment succeeds. If a payment fails, is reversed, or is charged back, we may retry the charge, withhold or reverse Credits associated with that payment to the extent permitted by law, restrict unpaid subscription benefits, or recover amounts lawfully due. A failed new payment does not by itself revoke valid, unexpired Credits from an earlier successful payment. Account-level restrictions for fraud, material breach, or legal and security reasons are addressed in Sections 7 and 13.2. We will not charge a cancelled subscription for a later renewal; you may separately authorise a new subscription or Top-up purchase. You should contact us before initiating a chargeback so we can investigate a disputed charge.

9.8 Upgrades and downgrades

Both upgrades and downgrades take effect immediately after the new-plan payment succeeds. Before you confirm, the Service shows the full price of the new plan charged immediately, any applicable taxes, the new subscription period, next renewal date, and the expiration date of the new Credit grant. The charge is the full new-plan price, not only the difference between plans. The new plan’s Subscription Credits and subscription benefits become available immediately after successful payment.

Unused Subscription Credits from the previous plan remain available until their own original expiration dates. Previously granted Subscriber Bonus Credits, Welcome Credits, and Purchased Top-up Credits also keep their original expiry and remain usable. The previous subscription payment is not refunded or credited against the new charge, except where applicable law requires otherwise. A plan change does not restart the expiry clock for existing Credits.

For example, upgrading from Starter with 50 Subscription Credits remaining to Creator charges US$9.99 and grants 400 new Subscription Credits, giving 450 Subscription Credits immediately if the previous 50 have not expired. Downgrading from Creator with 300 Subscription Credits remaining to Starter charges US$4.99 and grants 150 new Subscription Credits, also giving 450 immediately if the previous 300 have not expired. These examples exclude taxes. The previous and new Credits retain their respective expiration dates.

9.9 Top-up prices and subscriber bonuses

Top-ups are available with or without a subscription. The current US-dollar packages are shown below. Each cell shows the total Credits, followed by the Subscriber Bonus Credits included in that total in parentheses. The base Purchased Top-up Credits are the same across plans; only the subscriber bonus changes.

For example, a US$4.99 Top-up on Starter grants 120 Purchased Top-up Credits plus 30 Subscriber Bonus Credits, for 150 total. A US$9.99 Top-up on Creator grants 280 Purchased Top-up Credits plus 120 Subscriber Bonus Credits, for 400 total. Purchased Top-up Credits expire after 12 months; only the bonus portion expires after 30 days. Later changes to or cancellation of the subscription do not remove either portion before its original expiry. Taxes and the final total are shown at checkout; future price or offer changes are disclosed before purchase.

10. Service availability, changes, storage, and beta features

10.1 Availability

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. Generation time and results may vary with demand, model behaviour, file format, DAW configuration, internet connection, maintenance, or third-party infrastructure.

10.2 Service changes

We may improve, update, replace, limit, or discontinue features to maintain security, comply with law, address third-party rights, manage capacity, or develop the Service. Where a change materially reduces a paid feature during a current billing period, we will provide notice and any remedy required by law.

10.3 Storage and export

Storage limits, retention periods, file formats, and export availability may depend on the plan and may change prospectively. You should export and retain local copies of User Content and Outputs you wish to preserve. We are not responsible for loss that could reasonably have been avoided by maintaining a backup, except where liability cannot be excluded.

11. Third-party services and software

The Service may interact with DAWs, operating systems, plug-in hosts, payment processors, cloud providers, distributors, or other third-party products and services. Their terms and privacy policies govern your relationship with them. Neutune does not control and is not responsible for third-party services, but this does not excuse Neutune from obligations for service providers it appoints to process User Content on its behalf. Open-source components remain subject to their applicable licences, which control if they conflict with these Terms for those components.

12. Intellectual-property complaints

12.1 Reporting a concern

If you believe User Content processed or stored through the Service, or an Output generated through the Service, infringes your intellectual-property or other rights, email cs@neutune.com with:

• your full name and contact information;
• a description of the protected work or right;
• the location or identifying information for the material at issue;
• an explanation of why the use is unauthorised;
• a statement that the information is accurate and that you are the rights holder or authorised to act for the rights holder; and
• your physical or electronic signature.

12.2 Response

We may request additional information, remove or restrict material, suspend repeat infringers, preserve evidence, notify the affected user, or take other appropriate action. Knowingly submitting a false or misleading complaint may create liability. This process does not limit rights or procedures available under applicable law.

13. Suspension and termination

13.1 By you

You may stop using NeuSynth at any time, cancel a Paid Plan as described in Section 9.4, or request deletion of your shared Neutune Account through available Account controls or by contacting cs@neutune.com.

Deleting the shared Neutune Account ends access through that Account to both NeuSynth and MixAudio. You should export any User Content or Outputs you wish to retain before requesting deletion.

13.2 By Neutune

We may restrict, suspend, or terminate access where reasonably necessary because of a material or repeated breach of these Terms, non-payment, fraud, unlawful activity, infringement, security risk, harm to the Service or others, or a legal requirement. Where appropriate and legally permitted, we will give notice and a reasonable opportunity to cure before termination. Immediate action may be taken for urgent legal, security, fraud, or safety risks.

13.3 Effect of cancellation or termination

When a Paid Plan is cancelled, subscription-only benefits and future renewal end immediately, but already-granted, unexpired Credits remain usable as described in Sections 8.3 and 9.4. A plan change likewise does not revoke Credits already granted. Rights already granted in Paid Outputs survive, and Free Outputs remain subject to their non-commercial restriction. Subscription cancellation is separate from Account suspension, deletion, or termination.

When a shared Neutune Account is deleted or terminated, access through that Account to both NeuSynth and MixAudio ends. Associated Account and Product data will be deleted or de-identified in accordance with the Neutune Account Privacy Policy, the applicable Product Privacy Policies, and applicable law.

Access to stored User Content and Outputs may end, and unused Credits may be forfeited, except where a refund or another remedy is required by law. You are responsible for exporting files before Account closure where reasonably possible.

13.4 Survival

Sections concerning ownership, Output rights and restrictions, authorised data-use limitations, accrued payments, disclaimers, liability, disputes, and provisions that by their nature should survive will continue after cancellation or termination.

14. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEUTUNE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. NEUTUNE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY DEVICE, DAW, HOST, OR FILE; THAT DEFECTS WILL BE CORRECTED; OR THAT AN OUTPUT WILL MEET YOUR EXPECTATIONS, BE UNIQUE, BE COPYRIGHTABLE, OR BE FREE OF THIRD-PARTY RIGHTS.

You decide whether an Output is appropriate for release or Commercial Use and should obtain professional clearance where the risk or intended use warrants it. No information from Neutune creates a warranty not expressly stated in these Terms. This Section does not exclude statutory guarantees, remedies, or liabilities that cannot lawfully be excluded.

15. Limitation of liability

15.1 Excluded loss

To the fullest extent permitted by law, Neutune and its officers, employees, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, business, opportunity, goodwill, data, or anticipated savings, arising from or relating to the Service or an Output, even if advised that such loss is possible.

15.2 Liability cap

To the fullest extent permitted by law, the aggregate liability of Neutune and the parties listed above for all claims arising from or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid to Neutune for the Service during the 12 months immediately before the event giving rise to the claim and (b) US$100.

15.3 Exceptions

The exclusions and cap do not apply to liability that cannot be excluded or limited, including liability arising from Neutune’s wilful misconduct or gross negligence, fraud, death or personal injury caused by negligence where applicable, or mandatory consumer-protection law. Each limitation applies only to the maximum extent permitted in your jurisdiction.

16. Responsibility for claims

You are responsible for loss caused by your unlawful conduct, infringement, unauthorised User Content, or material breach of these Terms to the extent provided by applicable law. If you use the Service for or on behalf of a business or organisation, that business or organisation will defend and indemnify Neutune and its officers, employees, and affiliates against third-party claims, damages, and reasonable costs arising from such conduct or breach, except to the extent caused by Neutune. This business indemnity does not apply to an individual acting solely as a consumer.

17. Governing law and disputes

17.1 Governing law

These Terms and any dispute arising from or relating to them or the Service are governed by the laws of the State of Delaware and applicable federal law of the United States, without regard to conflict-of-law rules. If you use the Service as a consumer, mandatory protections provided by the law of your country, state, or province of residence continue to apply where they cannot lawfully be displaced.

17.2 Informal resolution

Before filing a claim, you and Neutune agree to try to resolve it in good faith by written notice. Send the notice to cs@neutune.com with your Account email, issue description, and requested remedy. This does not prevent either party from seeking urgent relief or using a mandatory consumer-dispute process.

17.3 Courts

Subject to any mandatory rule granting jurisdiction elsewhere, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service. Consumers may bring a claim in another court where the law of their place of residence gives them a non-waivable right to do so.

18. Changes to these Terms

We may revise these Terms to reflect changes in law, regulation, the Service, security, technology, or business practices. We will post the revised Terms, update the last-updated date, and state when material changes take effect. For a change that materially disadvantages existing users, we will provide at least 30 days’ advance notice unless a shorter period is required to address an urgent legal or security issue or is otherwise permitted by law. If you do not agree, you may stop using the Service and cancel before the change takes effect. Continued use after the effective date constitutes acceptance to the extent permitted by law. We will provide clear notice and any legally required opt-out or consent before materially expanding the categories or purposes of Product Improvement Data; continued use alone is not consent where applicable law requires affirmative consent. A change to these Terms will not retroactively remove commercial rights already granted for Paid Outputs or authorise Product Improvement use of data created before 1 September 2026 or while participation was inactive.

19. General terms

19.1 Entire agreement

These Terms, the Privacy Policy, and incorporated feature-specific terms are the entire agreement between you and Neutune regarding the Service and supersede prior or contemporaneous communications on that subject.

19.2 Assignment

You may not assign these Terms or transfer your Account without Neutune’s written consent. Neutune may assign these Terms in connection with a merger, acquisition, corporate reorganisation, financing, or transfer of the Service, provided the assignment does not reduce non-waivable consumer rights.

19.3 Severability and interpretation

If a provision is invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect. Headings are for convenience. “Including” means “including without limitation.” A failure to enforce a provision is not a waiver.

19.4 Force majeure

Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as natural disaster, war, civil disturbance, labour disruption, internet or utility failure, government action, epidemic, or third-party infrastructure outage, except that this clause does not excuse payment already due or obligations that cannot lawfully be excluded.

19.5 Notices and electronic contracting

You consent to receive contractual and Service notices electronically through the Service or at the email address associated with your Account. You must keep that address current. Electronic acceptance and records have the same effect as paper records to the extent permitted by law.

19.6 Language

If these Terms are translated, the English version controls to the extent permitted by law, unless a published translation expressly states otherwise or mandatory law requires a different result.

19.7 International use and export controls

NeuSynth is operated from the United States and may not be available in every country or region. You are responsible for complying with laws applicable to your use of the Service. You may not access, export, re-export, transfer, or use the Service in violation of United States export-control, trade, or sanctions laws or any other applicable law.
